Reactor Terms of Use
1. Introduction and Acceptance of Terms
1.1 These Terms of Use ("Terms") govern your access to and use of the Reactor platform ("Reactor", "we", "our", or "us"), a non-custodial, decentralized technical interface that enables users to interact with various decentralized protocols and services. Reactor is operated by an entity incorporated outside of the European Union, United States, and United Kingdom.
1.2 By accessing or using any part of the Reactor platform, including but not limited to connecting a digital wallet, executing trades, interacting with smart contracts, or using automated tools, you ("User" or "you") agree to be legally bound by these Terms. If you do not agree to these Terms, you may not access or use the platform.
1.3 These Terms form a legally binding agreement between you and the operator of the Reactor platform. You confirm that you have the legal capacity to enter into this agreement and are not prohibited under the laws of your jurisdiction from accessing or using decentralized technologies or digital asset services.
1.4 The services provided through the Reactor platform are strictly limited to technical facilitation of access to decentralized protocols. We do not act as a custodian of digital assets, do not provide financial, investment, or brokerage services, and do not execute trades or manage funds on behalf of users.
1.5 These Terms are effective as of 1 August 2025 and may be amended from time to time. We reserve the right to modify or update these Terms at our discretion. Any changes will be posted on this page or otherwise communicated through the platform. Your continued use of Reactor following the posting of updated Terms constitutes your acceptance of those changes.
1.6 We encourage you to review these Terms periodically to ensure that you understand your rights and obligations when using the platform. If you have any questions or require clarification, you should contact us before continuing use.
2. Definitions
For the purposes of these Terms of Use, the following definitions shall apply:
2.1. Platform
"Platform" refers to the Reactor user interface, website, application, codebase, and associated tools that enable Users to interact directly or indirectly with decentralized technologies and third-party services. The Platform is non-custodial and operates solely as a technical access layer. It does not perform, operate, or intermediate any regulated or licensed financial services.
2.2. User
"User" means any natural or legal person who accesses, browses, connects a digital wallet to, or otherwise uses any part of the Platform. By doing so, the User assumes full legal responsibility for all actions performed through or in connection with the Platform and confirms compliance with the applicable laws of their jurisdiction.
2.3. $REACT Token
"$REACT Token" refers to a cryptographic utility token designed for use exclusively within the Reactor Platform. It may be used to access specific features, participate in governance (if applicable), or receive functionality-related privileges. The $REACT Token does not confer ownership, voting rights over the legal entity, revenue rights, or any financial returns, and is not marketed or intended as an investment instrument.
2.4. Third-Party Services
"Third-Party Services" refers to any decentralized protocols, smart contracts, APIs, or other services not developed, owned, or controlled by Reactor but which may be accessible through or integrated with the Platform. These may include, but are not limited to, trading protocols, oracles, data providers, or automated strategy tools. Reactor bears no responsibility or liability for any actions, errors, or outcomes resulting from the use of Third-Party Services.
2.5. Restricted Jurisdictions
"Restricted Jurisdictions" are any countries, territories, or legal regimes where the use of the Platform, interaction with decentralized applications, or access to digital asset services is prohibited, restricted, or may require licensing or prior approval. This includes jurisdictions subject to sanctions, embargoes, or legal restrictions under applicable international, national, or regional laws. Users from Restricted Jurisdictions must not access or use the Platform.
2.6. Smart Contracts
"Smart Contracts" means self-executing lines of code deployed on blockchain-based infrastructure that autonomously perform functions, including but not limited to token transfers, trading operations, and protocol logic. Users interact with Smart Contracts at their own discretion and risk. Reactor does not create or control these contracts unless explicitly stated.
2.7. iAssets
"iAssets" refers to synthetic or tokenized representations of underlying asset classes (e.g., equities, commodities, FX) which may be accessible through integrated Third-Party Services. These assets are not physically settled or backed by the underlying instruments and are made available through algorithmic pricing and margin models defined by the respective smart contracts. Reactor does not issue, guarantee, or manage the design of such assets.
3. Eligibility
3.1 The Platform is intended solely for use by individuals who are at least 18 years of age and who have the legal capacity to enter into binding agreements under the laws applicable to them. By accessing or using the Platform, you represent and warrant that you meet these eligibility requirements.
3.2 You are solely responsible for ensuring that your use of the Platform is permitted under the laws and regulations applicable in your jurisdiction. You must not use the Platform if such use is prohibited or restricted by any applicable law, regulation, or enforcement regime.
3.3 Access to the Platform is expressly prohibited for persons or entities who are citizens, residents, or organized in, or accessing the Platform from, any of the following "Restricted Jurisdictions":
3.4 You further represent and warrant that you are not subject to any sanctions, nor are you listed on any sanctions-related lists maintained by the United Nations, European Union, United States Treasury (OFAC), or any other applicable sanctions authority.
3.5 You agree not to use the Platform for any unlawful purposes, including but not limited to:
3.6 Reactor reserves the right to restrict or terminate access to the Platform by any person or entity that, in its sole discretion, is determined to be in violation of this section, regardless of whether such violation is known or discovered at the time of access.
4. Nature of the Platform
4.1 The Reactor platform operates exclusively as a technical interface that enables Users to interact with decentralized protocols, smart contracts, and third-party services. Reactor itself is not a financial institution, investment platform, brokerage, or exchange. It does not facilitate custody, clearing, settlement, or matching of trades.
4.2 Reactor does not hold, store, or control User funds or digital assets at any time. All transactions initiated through the Platform are executed directly on public blockchain networks via smart contracts or third-party protocols, using User-controlled wallets. Users retain full control and responsibility over their private keys, funds, and transaction decisions.
4.3 Reactor does not provide financial, legal, tax, or investment advice. Nothing available on or through the Platform shall be construed as a recommendation or solicitation to buy, sell, or hold any digital asset, token, or financial product.
4.4 The Platform may integrate or reference third-party protocols, data sources, and tools, including but not limited to trading engines, analytics services, decentralized exchanges (DEXs), oracles, bots, or synthetic asset protocols. Reactor does not control, audit, or guarantee the reliability or performance of these services.
4.5 Reactor is not responsible for the execution, outcome, or consequences of any action taken by a User through the Platform. All interactions are initiated by the User via their own blockchain wallet, and the User assumes full responsibility for the risks and results of those interactions.
4.6 The Platform is offered "as is," without warranty as to its reliability, availability, or functionality. Reactor makes no representations regarding the legal status or regulatory treatment of any asset, protocol, or service that may be accessible through its interface.
5. Permitted Use and User Responsibilities
5.1 The Reactor Platform is made available solely for lawful, personal, and non-commercial use, subject to these Terms. Permitted uses of the Platform include:

5.5 Users acknowledge that Reactor does not supervise, control, or verify the accuracy, legality, or functionality of any third-party protocol or smart contract available through the Platform and assumes no responsibility for outcomes arising from such use.
6. $REACT Token Terms
6.1 The $REACT token is a digital utility token designed for use exclusively within the Reactor Platform. Its sole purpose is to enable access to certain premium features, user tiers, and functionality enhancements made available through the Platform’s interface or associated smart contracts. The $REACT token is not required for access to basic or standard features of the Platform.
6.2 Holding or using $REACT does not entitle the holder to any ownership interest, equity, voting rights, dividends, profit-sharing, or other financial or governance rights in Reactor, its operators, affiliates, or any third-party protocol accessible through the Platform.
6.3 The $REACT token is not an investment product and is not offered or marketed as a financial instrument, security, or asset-referenced token. It is not designed to be used as a means of speculation or to derive profit from its appreciation in value.
6.4 The market price or liquidity of $REACT tokens is determined entirely by external factors, including user demand, third-party exchange activity, and other market conditions beyond the control of Reactor. Reactor does not create, maintain, or influence secondary markets for $REACT and provides no guarantees, representations, or warranties regarding its value, market behavior, or usability outside the Reactor Platform.
6.5 Reactor makes no promises or representations regarding the future development, utility expansion, or appreciation of the $REACT token. Any statements or content suggesting future value or returns shall not be construed as financial advice or a commitment of any kind.
6.6 Users are solely responsible for evaluating the utility and suitability of holding or using $REACT in light of their own needs, legal obligations, and risk appetite. The token should not be acquired or held for any purpose other than its functional use within the Reactor Platform.
7. Jurisdictional Disclaimer and Regulatory Notice
7.1 The Reactor Platform is operated by an entity incorporated outside the European Union, United States, and United Kingdom. While the Platform itself functions solely as a non-custodial technical interface, certain services that may become accessible through it—such as access to synthetic assets, staking mechanisms, or automated trading strategies—could be subject to regulatory classification or licensing requirements under the laws of specific jurisdictions, including but not limited to the European Union, the United Kingdom, and the United States.
7.2 Reactor does not presently offer or make available any services in those jurisdictions that would require regulatory authorization under applicable financial, securities, or digital asset laws. Such services will only be made available in those jurisdictions once the necessary licenses, approvals, or registrations have been obtained in accordance with local law.
7.3 Access to certain features may therefore be restricted or disabled for Users based on their geographic location, citizenship, or residence. Users are solely responsible for ensuring that their use of the Platform is lawful in their respective jurisdiction and for complying with all applicable laws and regulations.
7.4 The Reactor team is committed to operating in good faith and in full respect of the legal and regulatory frameworks of all countries in which it operates or becomes accessible. Regulatory compliance, transparency, and legal integrity are core priorities for the continued development of the Platform.
7.5 Nothing contained on or accessible through the Platform should be interpreted as an offer or solicitation to engage in regulated financial activity in any jurisdiction where such activity is not lawfully permitted.
8. Risk Disclosure
8.1 By accessing or using the Reactor Platform, you acknowledge and accept that participation in decentralized technologies and digital asset markets involves a high degree of risk. You should carefully evaluate your individual risk tolerance, technical understanding, and legal obligations before using the Platform.
8.2 The following risks are inherent in the use of the Reactor Platform and the broader decentralized ecosystem. This list is non-exhaustive:
8.3 You understand and accept that you may lose some or all of the digital assets you choose to use in connection with the Platform. There are no guarantees of returns, refunds, or recoveries, and all transactions are final once confirmed on the blockchain.
8.4 The Reactor Platform is offered “as is” and “as available,” without warranties of any kind, whether express or implied. You use the Platform entirely at your own risk and are solely responsible for any actions taken, losses incurred, or liabilities arising from your use.
8.5 If you are unsure about any aspect of the risks described above, you are advised to seek professional legal, financial, or technical advice before proceeding.
9. Third-Party Services
9.1 The Reactor Platform may provide Users with access to, or facilitate interactions with, various third-party services and protocols, including but not limited to decentralized exchanges (DEXs), price oracles, automated trading strategies, analytics tools, synthetic asset protocols, and other decentralized applications or blockchain-based systems (“Third-Party Services”).
9.2 These Third-Party Services are not developed, operated, maintained, or controlled by Reactor, and their inclusion on or accessibility through the Platform does not constitute an endorsement, recommendation, or guarantee of reliability, legality, security, or performance.
9.3 Reactor makes no warranties or representations regarding the functionality, availability, accuracy, safety, or regulatory compliance of any Third-Party Service. Users should perform their own due diligence before engaging with any such service and are solely responsible for understanding its terms, risks, and legal implications.
9.4 Users interact with Third-Party Services at their own risk. Reactor shall not be liable for any loss, damage, interruption, error, or adverse outcome resulting from:
9.5 By using the Reactor Platform, you acknowledge that your interactions with any Third-Party Service are independent of Reactor, and that you bear full responsibility for any outcomes resulting from such interactions.
10. Limitation of Liability
10.1 The Reactor Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. Reactor expressly disclaims all warranties and representations, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, reliability, accuracy, or availability.
10.2 To the maximum extent permitted by applicable law, Reactor and its affiliates, officers, directors, contractors, developers, agents, or partners shall not be liable for any direct, indirect, incidental, consequential, punitive, special, or exemplary damages, including but not limited to loss of profits, loss of data, loss of digital assets, business interruption, or reputational harm, arising out of or in connection with:
10.3 Reactor shall not be liable for any losses or damages arising from your failure to safeguard access credentials, private keys, or wallet information, or from your reliance on any functionality, data, or information provided through the Platform.
10.4 Reactor does not guarantee that the Platform or any part thereof will be free from errors, bugs, security vulnerabilities, or other defects, nor that access will be uninterrupted or timely.
10.5 In jurisdictions where limitations of liability are restricted, Reactor’s liability shall be limited to the maximum extent permitted by applicable law. In no event shall Reactor’s aggregate liability exceed the equivalent of one hundred (100) U.S. dollars, regardless of the form of action.
10.6 You acknowledge and agree that your use of the Reactor Platform is entirely at your own risk, and that you assume full responsibility for any and all outcomes resulting from such use.
11. Indemnification
11.1 You agree to indemnify, defend, and hold harmless Reactor, its affiliates, officers, directors, employees, contractors, agents, and partners (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal and professional fees) arising out of or relating to:
a) Your violation of these Terms of Use or any other applicable terms, policies, or guidelines provided by Reactor;
b) Your use of the Platform in a manner that violates applicable laws or regulations, including but not limited to laws relating to digital assets, financial services, data protection, export control, and anti-money laundering;
c) Your use or misuse of any third-party protocol, service, or smart contract accessible via the Platform;
d) Any false, misleading, or inaccurate information provided by you through or in connection with your use of the Platform;
e) Any unauthorized or unlawful access to or use of the Platform via your connected wallet or device, whether by you or a third party.
11.2 Reactor reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate in full with Reactor’s defense of such claims. You may not settle any claim or matter on behalf of the Indemnified Parties without Reactor’s prior written consent.
11.3 This indemnification obligation shall survive termination or suspension of your access to the Platform and shall apply to the fullest extent permitted by applicable law.
12. Modifications and Termination
12.1 Reactor reserves the right to modify, update, or revise these Terms of Use at any time, at its sole discretion. Any such changes will become effective immediately upon being posted on the Platform or otherwise communicated to Users. Your continued use of the Platform following the publication of updated Terms constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically for any changes.
12.2 Reactor further reserves the right, at any time and without prior notice or liability, to:
12.3 You acknowledge and agree that Reactor is under no obligation to continue supporting, developing, maintaining, or making available any part of the Platform, and that you will have no claim against Reactor for any modification, suspension, or discontinuation of the Platform or its features.
12.4 Reactor shall not be liable to you or to any third party for the exercise of its rights under this section, including but not limited to the removal of access, termination of services, or changes to these Terms.
13. Privacy and Data Use
13.1 Your use of the Reactor Platform is also governed by our separate Privacy Policy, which outlines how we collect, use, and protect personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where relevant.
13.2 Reactor is a non-custodial platform and does not collect personal data by default, nor does it require user registration. However, in limited circumstances, the Platform may automatically collect minimal technical data, such as IP addresses, browser type, wallet metadata (e.g., public addresses), device information, and usage logs, for the purpose of platform functionality, abuse prevention, or basic analytics.
13.3 Reactor may use cookies or similar technologies to improve user experience, monitor site performance, and understand usage trends. By continuing to use the Platform, you consent to the use of such technologies in accordance with our Privacy Policy.
13.4 You are encouraged to review the full Privacy Policy to understand your rights and our obligations regarding the collection, use, and storage of any personal data that may be processed in connection with your use of the Platform.
14. Governing Law and Dispute Resolution
14.1 These Terms of Use, and any dispute or claim arising out of or in connection with them or the use of the Reactor Platform, shall be governed by and construed in accordance with the laws of the Republic of Seychelles, without regard to its conflict of laws principles.
14.2 Any dispute, controversy, or claim arising out of or relating to these Terms, the Reactor Platform, or your use thereof—whether contractual or non-contractual—shall be resolved exclusively through binding arbitration administered in accordance with the rules of the Seychelles International Arbitration Centre (SIAC) or another reputable arbitration body designated by Reactor, unless otherwise required by applicable law.
14.3 The language of the arbitration shall be English, and the seat of arbitration shall be Seychelles. The arbitration proceedings and all related materials shall remain strictly confidential, unless disclosure is required by law.
14.4 To the maximum extent permitted by applicable law, you agree to waive any right to participate in a class action, class arbitration, or representative proceeding, and to assert claims only in an individual capacity. Any claim brought under these Terms must be initiated within one (1) year of the event giving rise to the claim.
14.5 Notwithstanding the foregoing, Reactor reserves the right to seek interim injunctive relief or equitable remedies in any competent court, where necessary to protect its rights, enforce these Terms, or prevent immediate or irreparable harm.

15.2 We will make reasonable efforts to respond to inquiries in a timely manner. Please note that inquiries related to third-party services, wallet recovery, or blockchain transactions beyond our control may not receive support, as Reactor does not have access to user assets or wallets.
16. Disclaimer on iAssets and Regulated Instruments
16.1 The Reactor Platform may provide technical access to iAssets, which are synthetic or tokenized representations of real-world financial instruments, such as equities, commodities, or foreign exchange indices. These assets are made available solely through third-party protocols and service providers that may be integrated or referenced within the Platform.
16.2 iAssets are not issued, offered, managed, or controlled by Reactor. Reactor does not list, promote, or operate markets for any asset-referenced tokens, synthetic instruments, or other digital assets that may be considered regulated financial instruments under applicable laws.
16.3 In certain jurisdictions—including but not limited to the European Union, United Kingdom, and United States—iAssets may be classified as financial instruments, derivatives, securities, or asset-referenced tokens, which may require licensing, registration, or regulatory authorization.
16.4 It is the sole responsibility of the User to determine whether interacting with iAssets or related services is legal and compliant under the laws and regulations of their jurisdiction. Users must conduct their own due diligence before engaging with any third-party protocol and are specifically advised to verify whether the provider of the iAsset service holds all required licenses, permits, or authorizations in their country of residence or activity.
16.5 Reactor disclaims all responsibility for the regulatory status, legal compliance, or consumer protections associated with iAssets or any third-party services offering such instruments. Use of iAssets is entirely at the User’s own risk.
16.6 Reactor reserves the right to restrict or disable access to iAssets or related features on a jurisdiction-specific basis, particularly where offering such assets without regulatory approval may be unlawful.
